These Terms of Service ("Terms") are an agreement between you and CodeNest Technologies LLC, a Wyoming limited liability company ("CodeNest", "we", "us"), operating the website codenest.school and our learning platform (together, the "Service"). By buying a course or using the Service, you agree to these Terms, our
Refund Policy and our
Privacy Policy. If you do not agree, do not use the Service.
Important: Section 15 requires most disputes to be resolved by individual binding arbitration and waives class actions. It does not apply where your local law does not allow it, including to consumers in the European Union and the United Kingdom.
1. EligibilityYou must be at least 18 years old and able to enter into a binding contract. If you buy on behalf of a company or other organization, you confirm that you are authorized to bind it to these Terms.
2. Courses and access2.1. Our courses are self-paced online programs made of recorded lessons, written materials and practical assignments. The content of each course is described on its course page.
2.2. Access to the learning platform is granted immediately after successful payment. Course materials are released weekly: the first week opens at purchase, and each next week opens 7 days after the previous one.
2.3. You may use the course materials for
4 months from the date of purchase. After that, access ends automatically and is not extended unless we agree otherwise in writing.
2.4. Unless the course page expressly says otherwise, a course does not include live sessions, individual feedback, homework review, a community chat or a certificate.
2.5. We may update, reorder or improve course content to keep it current. We will not materially reduce the content of a course you have already paid for during your access period.
3. Your accountYour account and course access are personal to you. Do not share your login details or let anyone else use your access. One purchase gives access to one person. You are responsible for activity under your account and must tell us promptly at
[email protected] if you suspect unauthorized use.
4. Prices, payment and taxes4.1. Prices are shown in US dollars (USD). Each course is a one-time purchase; there are no subscriptions or automatic renewals.
4.2. Payments are processed by Stripe, Inc. We do not receive or store your full card details. Your bank may charge currency conversion or foreign transaction fees.
4.3.
Taxes. Prices on course pages may not include sales tax, VAT, GST or similar taxes. Where we are required by law to collect such taxes, they are calculated based on the location and billing details you provide and shown at checkout, together with the total amount, before you pay. You are responsible for giving us accurate location and billing information. If you buy for business purposes, you may be asked for your VAT or tax ID; where the reverse charge applies, you are responsible for accounting for the tax in your country. Apart from taxes we collect, you are responsible for any taxes, duties or fees that apply to your purchase under the laws of your country.
4.4. We may change prices at any time. A price change does not affect courses you have already paid for.
5. RefundsYou may request a full refund within 14 days of purchase, for any reason. Details are in our
Refund Policy, which forms part of these Terms.
6. Purchases by organizations6.1. Organizations may buy courses for their employees by invoice. The number of seats, price and payment term are stated in the invoice.
6.2. Access is granted once payment is received, unless the invoice states otherwise. Each seat is for one named person and may not be shared or reassigned after access begins.
6.3. If we sign a separate written agreement with an organization, that agreement prevails over these Terms where they conflict.
7. Intellectual property7.1. All course materials, videos, texts, templates and other content on the Service belong to CodeNest or its licensors and are protected by copyright and other laws.
7.2. We grant you a limited, personal, non-exclusive, non-transferable license to access and use the materials for your own learning during your access period. You may apply what you learn in your own work.
7.3. You may not: copy, download (except where a download feature is provided), record, resell, publish, share or distribute the materials; use them to create competing courses or products; remove copyright notices; or use the materials to train artificial intelligence or machine learning models.
7.4. Work you create in assignments remains yours.
8. Acceptable useYou agree not to: break any law while using the Service; interfere with or try to gain unauthorized access to the Service or other users' accounts; use bots, scrapers or similar tools to extract content; or upload malicious code.
9. Suspension and terminationWe may suspend or end your access if you materially breach these Terms, in particular Sections 3, 7 or 8. If we end your access for such a breach, you will not be entitled to a refund, except where the law requires it. You may stop using the Service at any time.
10. Educational content; no guaranteed resultsOur courses are for educational purposes. Results depend on your own effort, experience and circumstances. We do not promise any particular outcome, such as a promotion, a new job or higher income. See our

11. Disclaimer of warrantiesTo the extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free. Nothing in these Terms limits warranties or rights you have as a consumer that cannot be excluded under applicable law.
12. Limitation of liability12.1. To the extent permitted by law, CodeNest will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
12.2. To the extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
12.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, gross negligence or intentional misconduct, or, for consumers in the EU and UK, for death or personal injury caused by negligence.
13. IndemnityIf you use the Service for business purposes, you agree to compensate CodeNest for claims, losses and reasonable costs arising from your breach of Sections 7 or 8.
14. Governing lawThese Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. If you are a consumer living in the EU, the UK or another country with mandatory consumer protection laws, you also keep the protection of those laws.
15. Dispute resolution15.1.
Informal resolution first. Before starting any formal proceeding, email us at
[email protected] describing the issue. We will try to resolve it within 30 days.
15.2.
Arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Service will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for organizations). The arbitration may be conducted online or by video. Either party may instead bring an individual claim in small claims court if it qualifies.
15.3.
Class action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding.
15.4.
Opt-out. You may opt out of this Section 15 by emailing
[email protected] within 30 days of your first purchase, with the subject "Arbitration opt-out".
15.5.
Exceptions. This Section 15 does not apply to consumers living in the EU, the UK or any other country where such clauses are not enforceable against consumers. Those consumers may bring claims in the courts of their country of residence. Any dispute not subject to arbitration will be heard in the state or federal courts located in Wyoming, unless your local law gives you the right to sue in your own courts.
16. Changes to these TermsWe may update these Terms. We will post the new version on this page with a new "Last updated" date, and notify customers by email of material changes. Purchases are governed by the Terms in effect at the time of purchase.
17. GeneralThese Terms, together with the policies they refer to, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control. These Terms are written in English, and the English version prevails over any translation.
